Dear Gene:

     This is to inform you that, as of August 5, 1996, you are in
default for  failing to answer My lawful NOTICE AND DEMAND served
upon you  via Certified  U.S. Mail  serial number #P-475-744-607,
dated July 25, 1996 (25+10-31 = 4 + 1 day of grace).

     This is  also a formal Notice to you that I do not recognize
any authority  in you  to discharge  Me from  My position as Vice
President for  Legal Affairs  of New  Life Health Center Company.
The appointment  was authorized by the Trustee, Ms. Sheryl Smith,
and witnessed  by  Neil T. Nordbrock, and I will require that any
discharge be  authorized by  Sheryl Smith,  in blue  ink original
signature, and witnessed by Neil T. Nordbrock.

     Furthermore, I  have reason  to believe  that the "MINUTE OF
NEW LIFE  HEALTH CENTER CO." which you recently mailed to Me is a
false and  misrepresentative document,  because you have provided
Me with  no verifiable  proof that the Board of Trustees actually
did decide  anything on  or about July 17, 1996, as you allege in
said MINUTE,  because I have documentary evidence indicating that
"Jon M.  Roll" is not an officer of the Federal District Court in
the  State  of  Arizona,  and  for  other  reasons  which  remain
unspecified here.

     Any "assumptions"  which you  allegedly made  in said MINUTE
are hereby  denied and rebutted, pursuant to My lawful NOTICE AND
DEMAND to  you, dated  July 25,  1996,  to  which  you  have  now
defaulted.
