EMPLOYEE NON-COMPETE AGREEMENT

               In consideration of my being employed by _____________
        
        (Company), I, the undersigned, hereby agree that upon the 
        
        termination of my employment and notwithstanding the cause of 
        
        termination, I shall not compete with the business of the
