Congress is restrained by the Tenth Amendment
to creating only municipal corporations.

Yes, very.  The "charter" would be the
Act of Congress which created it in the
first instance.  If there is no charter
Act, then they would be right in saying
that the charter is the U.S. Constitution,
specifically 1:8:17 and 4:3:2.
